SOURCE CODE & SOFTWARE ESCROW

Software Escrow for End-Users

If a vendor on which your business relies went out of business or stopped supporting your licensed software for other reasons, your company would likely suffer considerable losses in revenue and productivity. Your software developer's failure to service or update their software may also result in material damage to your company’s operation. Software escrow is a business solution that protects both the rights of software end-users and the valuable, proprietary technology of software developers. A physical copy of the source code of the software is held in escrow by our company and is released only under the conditional terms of an escrow agreement that has been executed by all parties. The contract defines the deposit materials to be escrowed and the terms upon which the source code can be released. With a properly executed and managed escrow agreement, you can be assured access to the current source code in the event the software developer defaults on support - this would allow your business to continuing operating with only minimal interruptions.

Software Escrow for Developers

When technology developers license their products, the issue of continued technical support is always a concern. Most technology users won’t sign a license agreement that doesn’t include maintenance and support coverage. However, with an escrow agreement you can easily put your clients at ease while at the same time giving yourself a boost in marketing strategy. As technology develops at ever-increasing speeds, it is more often than not the smaller firms who have the most advanced products. Unfortunately, since these firms are viewed as being less than stable, clients are apprehensive about buying their products. By proactively offering a professional source code escrow agreement, dozens of small firms have been able to compete on a more level playing field with the larger, more established development houses. An escrow contract, signed during license negotiations, is like an insurance policy for your clients. As a trusted, neutral third party, EscrowNow administers source code and other maintenance materials for you and your clients. With a standing escrow agreement your clients would be able to gain access to materials only under the specific and controlled circumstances predetermined in your agreement. EscrowNow offers software escrow services, designed specifically for software developers, that simplify the process by removing the burden from the client to administer the escrow arrangement.

We offer two types of Software Escrow agreements:

Two Party agreement
This agreement is intended for one user as the only beneficiary. The agreement is closed between supplier, one user and EscrowNow.

Three Party frame-agreement
This is an agreement between supplier and EscrowNow. All licensees/users of the software supplier automatically become a beneficiary of the escrow contract.
